These Terms of Service govern your access to and use of the Wizebirds platform. By creating an account or using our Services, you agree to these Terms. Please read them carefully: if anything is unclear, contact us.

1. Who we are and these Terms

Wizebirds Ltd ("Wizebirds", "we", "us", "our") is a company registered in England and Wales, with its registered address at 33/84 South Grove, London E17 7FG, United Kingdom. These Terms of Service ("Terms") form a legal agreement between you and Wizebirds Ltd governing your access to and use of our websites, applications, and services (together, the "Services").

By creating an account, subscribing, or otherwise using the Services, you confirm that you accept these Terms and agree to comply with them. If you are using the Services on behalf of a business or organisation, you confirm you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, you must not use the Services.

2. The Services

Wizebirds offers a suite of tools for founders and businesses. Depending on your subscription, these may include:

  • Wizebirds Shield: trademark and brand monitoring, including conflict detection and alerts.
  • Wizebirds Scout: competitor advertising monitoring, using publicly available advertising data.
  • Wizebirds Craft: AI-assisted content creation and delivery to your connected content management system.
  • Wizebirds Raise: investor matching for founders (currently in development and available via waitlist).

Some Services or features may be in beta, preview, or waitlist status. We may add, change, or remove features, and we do not guarantee that any particular feature will always be available.

3. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Services.
  • You must provide accurate information when you register and keep it up to date. You may register using an email and password or via third-party sign-in (such as Google).
  • You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at hello@wizebirds.com if you suspect unauthorised use.

4. Subscriptions, billing and payment

  • Certain Services are provided on a paid subscription basis. Prices, features, and billing frequency (for example monthly or annual) are shown at the point of purchase.
  • Payments are processed by our payment provider, Stripe. By subscribing, you authorise us (via Stripe) to charge your chosen payment method for the applicable fees.
  • Unless stated otherwise, subscriptions renew automatically at the end of each billing period at the then-current price, until cancelled.
  • We may change our prices. Where a change affects your subscription, we will give you reasonable notice before it takes effect, and the new price will apply from your next renewal.
  • Fees are stated exclusive of taxes unless otherwise indicated; you are responsible for any applicable taxes.

5. Cancellation and refunds

  • You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you retain access until then.
  • Except where required by law, fees already paid are non-refundable, and cancelling partway through a billing period does not entitle you to a partial refund.
  • Your statutory rights as a consumer, where they apply, are not affected by these Terms.

6. Acceptable use

You agree not to:

  • use the Services in any unlawful, fraudulent, or harmful way, or in breach of any applicable law or third-party rights;
  • attempt to gain unauthorised access to, disrupt, or damage the Services or their underlying infrastructure;
  • copy, scrape, resell, or attempt to reverse-engineer the Services except as permitted by law;
  • upload or transmit malicious code, or use the Services to send spam or unsolicited communications;
  • use the Services to store or transmit content that is unlawful, infringing, defamatory, or otherwise objectionable.

We may suspend or terminate access if you breach these Terms or use the Services in a way that risks harm to us, other users, or third parties.

7. Your content and connected accounts

  • You retain ownership of the information and materials you provide to the Services ("Your Content"), including trademark details, business information, brand and voice settings, and content you generate or publish through Craft.
  • You grant us a non-exclusive, worldwide licence to host, process, and use Your Content solely to provide and improve the Services.
  • Where you connect a third-party account (such as a content management system for Craft), you authorise us to access and interact with it as needed to provide the Service, and you confirm you have the right to grant that access.
  • You are responsible for the accuracy and legality of Your Content, for the content you choose to publish, and for maintaining your own backups where appropriate.

8. AI-generated content

  • Wizebirds Craft and certain other features use artificial intelligence to generate content and suggestions.
  • AI-generated output may contain errors, omissions, or material that resembles existing works. It is provided to assist you, not to replace your judgement.
  • You are responsible for reviewing, editing, and approving any AI-generated content before you rely on or publish it. We do not warrant that AI-generated content is accurate, original, non-infringing, or fit for any particular purpose.

9. No professional advice

  • The Services provide tools and information, not professional advice.
  • Wizebirds Shield helps you monitor trademarks and identify potential conflicts, but it is not a law firm and does not provide legal advice. Alerts and conflict indications are informational and are not a legal determination of infringement or of your rights. You should consult a qualified trademark attorney or solicitor before making legal decisions.
  • Wizebirds Scout presents advertising data from third-party sources for information only; we do not guarantee its completeness, accuracy, or timeliness.
  • Where Wizebirds Raise becomes available, it does not provide financial, investment, or legal advice and is not an offer, solicitation, or recommendation regarding any investment.

10. Third-party services and data

  • The Services rely on and interact with third-party providers and data sources (for example, payment processing, hosting, email delivery, publicly available advertising libraries, and your connected systems).
  • We are not responsible for third-party services or the availability, accuracy, or content of third-party data. Your use of third-party services may be subject to their own terms.

11. Intellectual property

  • The Services, including all software, design, text, graphics, and the Wizebirds name and logo, are owned by or licensed to Wizebirds Ltd and are protected by intellectual property laws.
  • We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own business or personal purposes in accordance with these Terms. All rights not expressly granted are reserved.

12. Availability and changes to the Services

  • We aim to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update, or modify the Services from time to time.
  • We may introduce, change, suspend, or discontinue features, including beta features, at any time. Beta or preview features are provided "as is" and may be less stable.

13. Disclaimers

  • To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Services will meet your requirements, that results or data will be accurate or complete, or that any conflicts, opportunities, or risks will be identified.

14. Limitation of liability

  • Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.
  • Subject to the above, we will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or in connection with the Services.
  • Subject to the above, our total liability to you for all claims arising out of or in connection with the Services in any 12-month period is limited to the amount you paid us for the Services in that period (or, if you have not paid us anything, £100).
  • If you are a consumer, these limitations apply only to the extent permitted by law and do not affect your statutory rights.

15. Indemnity

If you use the Services on behalf of a business, you agree to indemnify and hold Wizebirds harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or content you publish through the Services.

16. Suspension and termination

  • You may stop using the Services and close your account at any time.
  • We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Services, other users, or third parties.
  • On termination, your right to use the Services ends. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

17. Data protection

We process personal data in accordance with our Privacy Policy, which forms part of your agreement with us. Please read it to understand how we handle your information.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date and, where appropriate, notify you. Your continued use of the Services after changes take effect means you accept the updated Terms.

19. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK, you may bring proceedings in your local courts.

20. General

  • We may assign or transfer our rights and obligations under these Terms; you may not do so without our consent.
  • If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
  • Our failure to enforce any right is not a waiver of that right.
  • These Terms, together with our Privacy Policy and any plan-specific terms, form the entire agreement between you and us regarding the Services.
  • We are not liable for any failure or delay caused by events beyond our reasonable control.
